Terms and Conditions Effective Date: Immediate Welcome to Spardex. These Terms and Conditions ("Terms") govern your access to and use of our website and services. By engaging with Spardex for web design and related services, you agree to be bound by these Terms. 1. Definitions "Client" refers to any individual or organisation entering into an agreement with Spardex for services. "Spardex," "we," "us," or "our" refers to the web design company. "Services" refers to web design, development, hosting, branding, and any other related services offered by Spardex. 2. Services Provided Spardex offers professional web design and development services tailored to your business needs. Specific deliverables, timelines, and pricing will be outlined in a separate project agreement or proposal. 3. Payment Terms A deposit (typically 50%) is required before work begins. Final payment is due upon project completion or as outlined in your contract. Late payments may incur a fee of 2% per month on the outstanding balance. All prices are in GBP (£) unless otherwise stated. 4. Client Responsibilities Clients agree to: Provide all necessary materials, content, and feedback in a timely manner Review and approve work within reasonable timeframes. Ensure they have the legal right to use any third-party content provided to us. 5. Revisions and Changes Spardex offers unlimited revisions during the active project phase, up until final approval and handover. Once the project is marked as complete and the final deliverables have been provided, any further revisions or changes will be charged separately at our standard hourly rate or under a new service agreement. 6. Intellectual Property Spardex retains ownership of all design, code, and deliverables until final payment is received. Upon full payment, ownership of final approved deliverables will be transferred to the client, unless otherwise specified in writing. We reserve the right to display completed work in our portfolio, website, or promotional materials unless agreed otherwise in writing. 7. Cancellations and Refunds Cancellations must be made in writing. Deposits are non-refundable once work has begun. If a project is cancelled after significant progress has been made, a prorated refund may be issued at our discretion based on work completed to date. 8. Warranty and Liability We test all websites and digital deliverables for functionality prior to handover. However, we do not guarantee uninterrupted or error-free operation after deployment. Spardex shall not be liable for any indirect, incidental, or consequential losses or damages arising from use of our services. Our liability shall not exceed the total amount paid by the client for the services in question. 9. Third-Party Services Spardex may integrate or recommend third-party services (such as hosting platforms, domain providers, or plugins). We are not liable for the performance, security, or reliability of these third-party services. 10. Termination Either party may terminate a project with 14 days’ written notice. Upon termination, the client agrees to pay for all completed work and expenses incurred up to the termination date. 11. Confidentiality Both Spardex and the client agree to maintain strict confidentiality regarding proprietary information, intellectual property, and sensitive business information shared during the course of the project. 12. Governing Law These Terms and any disputes arising out of or related to them shall be governed and interpreted in accordance with the laws of England and Wales, and both parties agree to submit to the exclusive jurisdiction of the English courts. 13. Changes to Terms We reserve the right to modify these Terms at any time. Continued use of our services constitutes acceptance of the updated Terms. 14.
